The General Conditions of Sale and Delivery apply to all sales of Direct Endodontics SAS. “Direct Endodontics” or “we” or “Directendo.com” or “Company” means Direct Endodontics S.A.S company under incorporation in progress at the RCS of Paris.

The hereby Extract of the General Conditions of Sale and Delivery applies to all sales done on the Website https://www.directendo.com/ (“Website”) which is limited to Healthcare professionals as defined below.
Prior January 2nd, 2023 (“Launch date”) no order shall be placed, and all Products listed on the Website are not an Offer for sale.
All content of the Website or brochures are for information only of the future offer for sale that will start on Launch Date and therefore shall not be considered today by Users as a commercial offer. Only after Launch date, and according to general terms and conditions proposed at Launch date, Direct Endodontics will be contractually bound regarding sales of Products.
In order to avoid any misunderstanding about the terms and “Slogans” published on the Website some definitions are hereby proposed.
DEFINITIONS
“Healthcare professionals” means a person practicing under a valid professional license with specialized expertise and recognized knowledge in the dentistry sector as well as the use of medical services, and related tools.
“User(s)” means a Healthcare professional(s) or someone acting on its behalf that browses the Website without opening a Customer Account.
“User Customer Account” means a Healthcare professional(s) or someone acting on its behalf that opens a Customer Account but does not make any order on the Website.
“Customer” means a Healthcare professional(s) or someone acting on its behalf that opened a Customer Account and make an order on the Website.
Slogans and taglines
“Free Shipping” means that the shipping costs to expedite the products are at the charge of Direct Endodontics.
“100% money back guarantee on all unopened products for three years” means that any purchases such as packs that have not been opened can be returned for three years (36 months) beginning at the creation date of Customer Account.
“SKU” means a stock-keeping unit that is a scannable bar code, most often seen printed on product labels.
“100% refund on up to 2 empty instruments packs per SKU” means that a total refund of 2 products even used is allowed as long as the Customer Account is active and that the empty packaging is sent back to Direct Endodontics or follow instructions provided by Direct Endodontics equivalent to send them back.
“Save An Additional 10% The First 12 Months” means that this offer starts on 1st, September 2022 and is valid until December 31st, 2022, and as long as you subscribe to Direct Endodontics Newsletter and then a 10% discount applies to every purchase made during the 12 months beginning at the Launch Date.
“Receive your sample NiTi endodontic instruments for evaluation purposes” means that a sample is given to new customers that register for such and agree that this sample shall be only used by Healthcare professionals for evaluation (educational or training) purposes and not as a medical device used on patients.
ARTICLE 1 - ACCESS TO THE WEBSITE
Any access to the Website or order placed on this Website is limited to Healthcare professionals practicing with a valid professional license in the dentistry sector or persons acting on behalf of the hereby Healthcare professionals. Direct Endodontics at all times requests consent by User(s) of the Website to the terms that they are Healthcare Professionals. No access is possible without such consent or without having provided evidence of such status by any mean.
Any wrong declaration is under the declarant’s sole liability. Direct Endodontics may initiate any legal or administrative procedure against such person, natural, or entity, and may seek indemnification. Direct Endodontics will have all rights to exclude such person from its Website.
ARTICLE 2 – DELIVERY
The online sale of products presented on the Website Direct Endodontics is reserved for Healthcare professionals who reside in E.U, U.K, and Switzerland.
The sample “NiTi endodontic instruments” (“Sample”) is delivered at the address provided during registration.
ARTICLE 3 – USE OF THE SAMPLE
The Sample shall be used only for evaluation purposes by a Healthcare professional. The Sample may be used for educational or training purposes by the Healthcare professional and cannot be used in the patient's care.
Any unlawful use is under the sole responsibility of the Healthcare professional.
ARTICLE 4 - RIGHT OF RETURN
Two different causes will apply regarding your right of return:
• return due to non-conformity of the product with respect to quality as it will be detailed later on when products are sold.
• Return due to dissatisfaction.
After the Launch date, unless you have opened the package(s) of the product(s), Customer can return the product(s) without giving any reason within three years from the day on which the product(s) have been purchased.

ARTICLE 5 - PRICING AND AVAILABILITY
There are no guaranteed delivery times and should not be relied upon as such.
The products listed on the Website are for information only and may be modified or updated until the Launch date.
The prices of the Products are indicative and will be confirmed at the Launch date. As we will process your order beginning of the Launch date, we will inform you by e-mail as soon as possible if any Products you order turn out to be unavailable and you will not be charged for those products.
All prices are inclusive of legally applicable VAT.
ARTICLE 6 – PRODUCT INFORMATION
Between 1st September 2022 and December 2022, all information about the Products/samples on our Website is provided for information purposes only.
At the launch Date we recommend that you do not rely solely on the information presented on our Website. Please ensure to always scan the QR code on the product’s packaging and read the labels, warnings, and Information of Use.
ARTICLE 7 – LIABILITIES AND INDEMNIFICATION
We will not be held responsible for any information regarding the Products on the Website before the Launch date. We will also not be held responsible for the delay or failure of the registration process.
As User, User Customer Account or Customer you are fully responsible for
• any declaration on your professional status such as Healthcare professional;
• the proper use of the Sample;
• the use of your “Direct Endodontics Customer Code”,
• the use of the 10% discount that should be only nominated to you,
Direct Endodontics has the right to seek indemnification for direct and indirect damages that are the result of a breach of the hereby Extract of the General Conditions of Sale and Delivery or violation of regulation by User.
Direct Endodontics can only be held responsible regarding its Privacy Policy.
ARTICLE 8 – APPLICABLE LAW
These conditions are governed by French Laws except public order if any.
In case of dispute, competent jurisdictions will be Paris Courts (France).
ARTICLE 9 – AMENDMENTS TO THE CONDITIONS OF SALE AND DELIVERY
We reserve the right to make changes to these Extract of General Conditions of Sale and Delivery at any time. The hereby terms will be updated and modified at the Launch date.
It is your sole responsibility to ensure you have the latest and updated Extract of General Conditions of Sale and Delivery. You will be subject to the terms and conditions, policies, and Extract of General Conditions of Sale in force at the time that you order products from us. If any of these Extract of General Conditions of Sale and Delivery is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.
